Terms of Service

These Terms govern the contract between Sonargaon Transport Agency ("we", "us") and the company hiring us to move cargo ("you", "Customer"). Each individual carriage is also subject to the specific Quotation we send you and any Purchase Order you raise.

1. The service

We operate a road-freight contract-carriage service across Bangladesh: project cargo, cement and steel haulage, FMCG multi-drop, port drayage, and related logistics. We do not run scheduled departures or a courier network — each carriage is dispatched against a specific customer contract and documented through our four-document chain (Quotation, Challan, Bill, Money Receipt).

2. How a contract is formed

  1. You send us an enquiry (phone, email, public quote form, or customer-portal work order).
  2. We respond with a Quotation PDF carrying a quotation number, rate, validity period, and our standard Terms & Conditions for that engagement.
  3. You accept by issuing a Purchase Order (or written acceptance via portal / email).
  4. Once accepted, the rates and terms in that Quotation become binding for trips dispatched under that PO.

A Quotation that has not been accepted within its validity period lapses automatically.

3. Pricing

  • Billing basis: Per trip, per ton, or per kilometre — fixed in the Project record and printed on every Quotation and Bill.
  • Rates: Quoted in BDT, exclusive of VAT and tax. Any applicable VAT/SD is added at billing time.
  • Demurrage: A standard demurrage charge applies for loading/unloading delays beyond the threshold declared in your Quotation.
  • Dropping / damage charges: Multi-drop and incidental charges are itemised on the Bill so you see exactly what each component cost.
  • No surprise fees: Any charge not listed in your Quotation T&Cs requires written agreement before we apply it.

4. Payment terms

  • Default credit terms: 30 days net (configurable per Customer record).
  • Bills become overdue 1 day after the due date; we send automatic reminders at 7, 14, and 30 days overdue.
  • Accepted payment channels:
    • Bank transfer (NEFT / RTGS / internet banking — proof required)
    • Cheque
    • bKash (via our tokenized gateway, button on every bill)
    • Card / internet banking (via SSL Commerz hosted checkout)
    • Cash (with signed receipt)
  • We issue a Money Receipt PDF for every payment received.

5. Customer obligations

  • Provide accurate cargo description, weight, dimensions, and any hazardous-material classification.
  • Ensure cargo is properly packed for road transport and ready at the agreed pickup time.
  • Provide a signed Delivery Challan (or stamped POD) at the drop point so we can close the trip.
  • Notify us of any access restrictions, weight limits, or special permits at the pickup/drop site.

6. Cargo liability

Our liability for loss or damage to cargo is limited to the lower of:

  • The declared value of the consignment (where you have declared it in writing in advance), or
  • The actual freight charge for that carriage, plus reasonable replacement cost of the affected goods.

For high-value cargo, talk to us in advance — we can arrange dedicated insurance on a per-shipment basis. Carrier liability does not cover consequential or indirect losses (loss of profit, downstream contract penalties, etc.).

7. Cancellation

  • You may cancel a dispatched trip before the driver reaches the pickup point with no charge.
  • Cancellation after the driver has reached pickup is billed at 50% of the trip rate to cover the deadhead.
  • Cancellation after loading has begun is billed in full.

8. Force majeure

Neither party is liable for delay or failure caused by events outside reasonable control — including but not limited to: floods, cyclones, road blockades, hartal/strike, government route closures, port strikes, fuel shortages, or epidemic-related restrictions. Where force majeure persists beyond 7 days, either party may suspend the affected Project without penalty.

9. Data

Personal data processing is governed by our Privacy Policy, which forms part of these Terms.

10. Dispute resolution

  • First step: write to info@sonargaon-transport.com. We aim to resolve disputes within 14 working days.
  • Second step: if unresolved, the parties will attempt mediation in good faith.
  • Jurisdiction: these Terms are governed by the laws of Bangladesh. The courts of Dhaka have exclusive jurisdiction over any litigation.

11. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be emailed to active Customers at least 30 days before they take effect.
